Woods Hardwick Sell to EOT

by Tracy Evans

30 June 2022

Our Corporate team led by Tracy Evans, are delighted to have assisted the shareholders of Woods Hardwick in the sale of the company to an Employee Ownership Trust; known as an EOT.

Woods Hardwick is a leading national multidisciplinary professional practice specialising in the built environment. They have an enviably client base which includes the world famous department store Harrods; whom they have worked with on 250 projects in the last 25 years. Their services include architecture, civil engineering, transport and land planning, and land surveying.

Woods Hardwick is now owned by a trust that holds the company for the benefit of its employees. A key benefit from the change is that profit can be distributed amongst staff with tax benefits and any future change of ownership is likely to benefit all employees.

The former founding shareholders of the group will remain directors and assist with the day to day business, however the EOT structure allows for the employees to have influence over decisions taken by the company too.

John Freeman, one of the sellers, commented:-

“Tracy and the wider EMW team have been excellent. Advice has always been clear and concise and no question too silly or request for help too small. Woods Hardwick Ltd have been working with EMW since the last MBO and would highly recommend their services to anyone looking for help.”

Our team was led by Tracy Evans. Tracy commented:

“It has been a pleasure working on the project. It was clear from the outset that the employees have played a large role in the success of the company and it is wonderful that their efforts can be rewarded under the EOT structure.”
